# Terms of Use

Effective Date: **July 10, 2026**

These Terms of Use (“**Terms**”) govern your access to and use of the Flipper website and its decentralized applications, tools, and other content (collectively, the “**Interface**”), operated by Unified Protocol Inc., a company incorporated under the laws of the British Virgin Islands, with registration number 2213389 and registered address 2nd Floor, Ellen L. Skelton Building, Fishers Lane, Road Town, Tortola, British Virgin Islands, VG 1110 (“**Flipper**,” “**we**,” “**us**,” or “**our**”).

By using, browsing, or otherwise interacting with the Interface, you accept these Terms and our Privacy Policy, incorporated by reference. If you disagree with any part of these Terms, you should not access or use the Interface.

## <mark style="color:$primary;">I. Definitions</mark>

**I.1.** Unless otherwise defined in these Terms, the following terms have the meanings set out below:

a) **“Interface”** means the Flipper website, front-end, and decentralized applications, along with all features, tools, content, and services available through them, including the Spot features (Swap and Trade), the Perps and DeForex trading terminals, the AI Copilot and automated trading tools, analytics and educational materials, rewards and referral programs.

b) **“On-Chain Transaction”** means any transaction that you initiate through the Interface and that is submitted to and recorded on a public blockchain network.

c) **“Third-Party Services”** means external applications, infrastructure providers, decentralized protocols, and smart contracts that the Interface integrates with, aggregates, or interacts with.

d) **“Wallet”** means a self-custodial or embedded cryptographic wallet used to interact with the Interface and to authorize On-Chain Transactions.

e) **“Digital Assets”** means cryptocurrencies, tokens, and other blockchain-based assets.

## <mark style="color:$primary;">II. Nature of the Interface</mark>

**II.1.** **Software Only.** The Interface is a non-custodial software interface that allows you to interact with public blockchain networks and Third-Party Services. We do not operate a bank, exchange, broker-dealer, money services business, or custodian, nor do we provide any of these services.

**II.2.** **Non-Custodial.** We do not hold your private keys and do not take custody of your Digital Assets. You are solely responsible for your Wallet, private keys, seed phrase, and all activity conducted through your Wallet. Where you deposit collateral or margin into smart contracts in order to use certain features, those assets are held and governed by the relevant smart contract code and protocol rules, and not by us. We do not act as a counterparty to your trades.

**II.3.** **Aggregator.** The Interface functions as an aggregator. It aggregates liquidity and routes from Third-Party Services (including, without limitation, liquidity pools and protocols on Solana, and, in future, other supported networks) and displays information to help you interact with them. We do not control, operate, or endorse these protocols, and we are not responsible for their functionality, security, availability, or data practices.

**II.4.** **No Control Over Blockchains.** Blockchain networks are decentralized and are not owned, controlled, or operated by us. We are not responsible for the operation, security, or availability of any blockchain network, and we cannot reverse, cancel, or modify any On-Chain Transaction once it has been submitted.

## <mark style="color:$primary;">III. Eligibility</mark>

**III.1.** **Age.** You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Interface. By using the Interface, you represent and warrant that you meet this requirement.

**III.2.** **Prohibited Jurisdictions.** You may not access or use the Interface if you are a citizen of, resident of, located in, incorporated in, or have a registered office in the United States of America, or in any country or territory subject to comprehensive sanctions administered by the United Nations, the United States (including OFAC-administered sanctions), the European Union, the United Kingdom, or any other applicable authority (collectively, “Prohibited Jurisdictions”).

**III.3.** **Sanctions and Restricted Persons.** You represent and warrant that you are not, and are not acting on behalf of, any person who is

a) listed on any sanctions or restricted-party list;

b) owned or controlled by any such person; or

otherwise prohibited from using the Interface under applicable law.

We reserve the right, at our sole discretion, to restrict or block access to the Interface, including based on geographic location or wallet-screening indicators.

**III.4.** **Compliance.** You are solely responsible for ensuring that your access to and use of the Interface comply with all applicable laws, rules, and regulations. If your use is or becomes unlawful in your jurisdiction, you must stop using the Interface.

## <mark style="color:$primary;">IV. Wallets & Account Security</mark>

**IV.1.** **Wallet Connection.** To use certain features, you must connect a compatible Wallet. Spot features are available only via a self-custodial Wallet connection. On the Perps and DeForex terminals, you may connect a self-custodial Wallet or use optional social login (email, Google, Apple, X, Discord, or Telegram) provided by our third-party provider, Privy. Privy may generate and manage an embedded Wallet for your session.

**IV.2.** **Your Responsibility.** You are solely responsible for maintaining the confidentiality and security of your Wallet, private keys, credentials, and any embedded wallet. We are not liable for any loss or damage resulting from your failure to secure them, unauthorized access to your Wallet, or lost or forgotten keys or credentials.

**IV.3.** **Third-Party Authentication.** Authentication and embedded-wallet services are provided by Privy and are subject to Privy’s terms and privacy practices. We are not responsible for Privy’s or any social-login provider’s acts or omissions.

## <mark style="color:$primary;">V. Third-Party Services and AI-Assisted Features</mark>

**V.1.** **Integrations.** The Interface integrates with Third-Party Services to deliver its features, including authentication, embedded wallets (Privy), decentralized trading and liquidity protocols, customer support (Intercom), rewards and referral programs (Claimr), charting tools (TradingView), and AI-assisted routing.

**V.2.** **No Endorsement or Control.** The inclusion of any Third-Party Service does not imply that we endorse, approve, or recommend it. We do not control any Third-Party Service and are not responsible for its content, functionality, security, or data practices.

**V.3.** **Your Due Diligence.** Your use of any Third-Party Service is entirely at your own risk and may be subject to separate terms and privacy policies. We recommend that you review those terms before using any Third-Party Service through the Interface.

**V.4. AI-Assisted Routing.** Flipper has developed proprietary AI-assisted routing technology (“AI Routing”) designed to identify and propose an expected advantageous route for opening a trade across supported Third-Party Services. In evaluating available routes, AI Routing may consider data including, without limitation, venue fees, estimated price impact and slippage, funding rates, available liquidity, market conditions, venue capacity, and other relevant execution parameters.

**V.5. Automatic Routing Mode.** In Automatic Routing Mode, AI Routing calculates and proposes the route that it determines to be the most advantageous based on the data available at the time of calculation. AI Routing does not independently submit, authorize, or execute any transaction. A transaction is submitted only after you review and confirm the proposed parameters and authorize it through your Wallet. You may accept the proposed route or modify the proposed parameters by switching to Manual Routing Mode.

**V.6. Manual Routing Mode.** In Manual Routing Mode, you independently select the parameters of the proposed order and the liquidity source or venue from the available options displayed through the Interface. You are solely responsible for reviewing and approving the selected venue, order size, price, leverage, slippage tolerance, and other applicable parameters.

**V.7. Routing Estimates and No Guarantee.** Routes proposed by AI Routing are estimates based on available information at a particular point in time. Market conditions, liquidity, fees, funding rates, protocol parameters, and execution prices may change before or during execution. Flipper does not guarantee that any proposed route will remain the cheapest, most advantageous, or successfully executable route, or that it will result in any particular financial outcome. A proposed route is a technical execution estimate, not investment advice or a recommendation, and does not take into account your individual circumstances or objectives.

**V.8.** **Routing and Split Execution.** The Interface may route a single user instruction or “parent order” to one or more supported Third-Party Services and divide it into multiple underlying orders or position legs. Such legs may be submitted, confirmed, executed, rejected, canceled, or settled at different times and at different prices. The aggregate position, average entry price, fees, funding, margin requirements, liquidation thresholds, and profit and loss displayed by the Interface may therefore be calculated from multiple underlying positions. Unless expressly stated as guaranteed, quotes and routes are estimates only. Flipper may modify the proposed route within the price, slippage, size, deadline, venue, and other parameters authorized by you. A parent order may be partially filled even where one or more underlying legs fail or are delayed. Flipper may cancel unfilled legs or submit risk-reducing or compensating transactions, but does not guarantee atomic execution across independent protocols or blockchain networks.

**V.9.** **Limited Trading Authorization.** Where you grant a session key, smart-account permission, delegated authority, or similar authorization, you authorize the permitted software or executor solely to perform the actions and within the limits displayed to you at the time of authorization. Unless expressly disclosed, such authority does not permit withdrawal of assets to an arbitrary address. You may revoke the authorization through the available controls, but revocation may not cancel a transaction already signed, submitted, or pending execution. You remain responsible for reviewing the scope, duration, spending limits, supported contracts, and revocation status of each authorization.

**V.10.** **Automated Execution.** Certain features other than AI Routing, including separately enabled AI-powered trading bots and automated rebalancing tools, may propose or execute transactions based on parameters you configure and permissions you grant from your Wallet. AI Routing itself does not execute transactions.

**V.11.** **Informational Output.** The AI Copilot and related features may analyze markets, generate ideas, suggest routes, and display information. All such output is for informational purposes only, may be inaccurate, incomplete, or outdated, and does not constitute financial, investment, legal, or tax advice.

**V.12.** **No Guarantee of Performance.** Automated strategies do not guarantee any profit and may result in partial or total loss of your Digital Assets. Any past, projected, or simulated performance is not indicative of future results.

**V.13.** **Operational Limits.** Automated tools depend on network conditions, third-party data feeds, and protocol availability. They may fail to execute, execute late, execute partially, or execute at unfavorable prices. We are not liable for any loss arising from these events.

**V.14.** **No Sensitive Data.** You should not submit personal identifiers, credentials, or seed phrases to the AI features.

## <mark style="color:$primary;">VI. Risk Screening and Security Signals</mark>

**VI.1.** **Risk Signals.** The Interface may display risk indicators, smart-contract checks, protocol metrics, route-safety signals, warnings, and similar information. These are automated, best-effort signals derived from third-party data sources. These signals are not a security audit, a guarantee of safety, or a recommendation. A favorable indicator does not mean that any asset, smart contract, protocol, or counterparty is safe, legitimate, or free from risk, and the absence of a warning does not mean that no risk exists. Data sources may be incomplete, delayed, or incorrect. You remain solely responsible for conducting your own due diligence before interacting with any asset, contract, or protocol. We are not liable for any loss arising from reliance on these signals.

**VI.2.** **MEV and Execution Protection.** Features described as stealth execution, private routing, or MEV protection are designed to reduce, but cannot eliminate, exposure to front-running, sandwich attacks, or other forms of value extraction. We do not guarantee that any transaction will be fully protected.

**VI.3.** **Audits.** Any reference to completed or ongoing security audits does not constitute a warranty that the Interface or any smart contract is secure, error-free, or free from vulnerabilities.

## <mark style="color:$primary;">VII. DeForex</mark>

**VII.1.** DeForex provides synthetic, perpetual-style exposure to reference assets, including foreign-exchange pairs, precious metals, commodities, and indices, via on-chain third-party providers. DeForex is not spot foreign exchange, not a contract for difference offered by a licensed broker, and not a brokerage service. You do not acquire, own, or receive delivery of any underlying asset, and you obtain no rights in respect of it. We do not act as a broker, dealer, investment firm, or financial intermediary.

**VII.2.** Market availability, trading hours, and execution conditions depend on the underlying liquidity providers and may be limited, suspended, or discontinued at any time. Continuous or 24/7 availability is not guaranteed for any market.

**VII.3.** Access to these features may be restricted or unlawful in your jurisdiction. You are solely responsible for determining whether you may lawfully use them and for any regulatory or tax consequences of doing so.

## <mark style="color:$primary;">VIII. Leveraged and Derivatives Trading Risks</mark>

**VIII.1.** **Leverage.** Perpetual contracts and other leveraged products let you open positions larger than your margin. Leverage magnifies both gains and losses, and losses may exceed your initial margin, resulting in the total loss of your collateral.

**VIII.2.** **Liquidation.** If your position no longer has sufficient margin, it may be closed automatically, in whole or in part, without prior notice. Liquidation may occur rapidly during volatile market conditions and at prices materially worse than those displayed.

**VIII.3.** **Funding.** Perpetual positions are subject to periodic funding payments between long and short positions. Depending on market conditions, you may be required to pay funding, which will reduce your returns or increase your losses.

**VIII.4.** **Auto-Deleveraging (ADL).** Venues to which the Interface routes trades may employ ADL or similar mechanisms that can reduce or close your position, including a profitable one, to protect the solvency of the relevant protocol. Any ADL indicator or similar signal displayed in the Interface is for informational purposes only and does not prevent, delay, or protect against ADL.

**VIII.5.** **Stop-Out Management.** Stop-Out Management is an optional risk-management feature that, when separately enabled by you, may attempt to reduce or close an aggregate position before one or more underlying venues initiate liquidation. The feature may use the earliest or otherwise most conservative risk threshold across the underlying position legs and may therefore close a position earlier than the liquidation price displayed by any individual venue. Stop-Out Management does not guarantee that liquidation, slippage, partial execution, protocol failure, or loss will be prevented. Any applicable Stop-Out fee and trigger conditions will be disclosed before you enable the feature. Revocation does not affect transactions already submitted or in progress.

**VIII.6.** **Risk Indicators.** Liquidation price, health factor, estimated fees, and similar figures displayed in the Interface are estimates based on available data at a given moment. They may change without notice and do not guarantee any outcome.

**VIII.7.** **Third-Party Venues.** Execution occurs on third-party protocols and venues. Their liquidity, uptime, risk parameters, and liquidation logic are outside our control.

## <mark style="color:$primary;">IX. Rewards & Referral Programs. Token Offering</mark>

**IX.1.** **Programs.** We may from time to time offer rewards, experience points (“XP”), quests, or referral programs, administered in whole or in part through Third-Party Services such as Claimr. Participation is voluntary and subject to any additional program rules we publish.

**IX.2.** **No Monetary Value; No Entitlement.** Any XP, points, or rewards have no cash or monetary value, are not redeemable for fiat currency, and confer no ownership, equity, or other proprietary rights. They do not represent, and should not be relied upon as, a promise, guarantee, or expectation of any future token, airdrop, distribution, or financial return.

**IX.3.** **Changes.** We may modify, suspend, recalculate, or terminate any rewards or referral program, and may adjust or revoke XP, points, or rewards, at any time and for any reason, including to prevent fraud, manipulation, or abuse.

**IX.4.** **Staking.** Any staking program is subject to separate published program terms. Staking involves locking Digital Assets in smart contracts and carries risks including smart-contract failure, exploits, and loss of assets. Any stated reward rate is indicative, not guaranteed, and may be changed, reduced, or discontinued. Lock-up periods may prevent withdrawal.

**IX.5.** **Token Offering.** Flipper may publish information about potential token distribution events, airdrop seasons, and staking programs. Any such program is governed by separate published terms, which prevail over this Section. Nothing in these Terms constitutes an offer, solicitation, or recommendation to acquire any Digital Asset, and nothing herein should be relied upon as a promise or guarantee of any future value, yield, distribution, listing, or return. Participation is voluntary and may be modified, suspended, or discontinued, and may be unavailable in certain jurisdictions.

## <mark style="color:$primary;">X. Fees</mark>

**X.1.** Your use of the Interface may be subject to fees, including protocol fees, network (gas) fees, and any fees charged by the Interface. These fees will be displayed or otherwise made available to you before you confirm a transaction, where technically feasible. Network fees are paid to the relevant blockchain network and are outside our control. All fees are non-refundable. You are responsible for any taxes applicable to your use of the Interface and your transactions.

**X.2.** Flipper may also receive builder, user-interface, referral, rebate, revenue-share, or similar compensation from a Third-Party Service. Such compensation may be funded from the Third-Party Service’s fee, charged as an additional fee to you, or both.

**X.3.** **Premium Access.** We may offer paid subscriptions that provide extended functionality. Fees, billing periods, and included features are as displayed at the time of purchase. Unless required by law, all fees are non-refundable, including for unused periods. We may change pricing or features with reasonable notice and may suspend or terminate Premium Access for breach of these Terms.

## <mark style="color:$primary;">XI. Prohibited Use & Indemnification</mark>

**XI.1.** You agree not to use the Interface to, and not to assist or permit any person to:

a) violate any applicable law, regulation, or sanctions regime, or facilitate money laundering, terrorist financing, fraud, or other illegal activity;

b) circumvent, disable, or interfere with security-related features, geographic or wallet-based restrictions, or rate limits;

c) use bots, scripts, or other automated means to abuse, manipulate, or gain an unfair advantage in any rewards or referral program;

d) engage in market manipulation, or any activity intended to defraud or harm us, other users, or Third-Party Services;

e) introduce malware, exploit vulnerabilities, or attempt to gain unauthorized access to the Interface or its systems;

f) infringe our or any third party’s intellectual property or other rights; or

g) use the Interface in any Prohibited Jurisdiction or in violation of Section III.

**XI.2.** You agree to indemnify, defend, and hold harmless Flipper, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to

a) your use of the Interface;

b) your violation of these Terms or applicable law;

c) your violation of any third party’s rights; or

d) your Digital Assets, Wallet, or transactions.

## <mark style="color:$primary;">XII. Intellectual Property</mark>

**XII.1.** The Interface, including its design, text, graphics, logos, and software (excluding open-source components and Third-Party Services), is owned by or licensed to us and protected by intellectual property laws.

**XII.2.** Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Interface for its intended purpose.

**XII.3.** You may not copy, modify, distribute, reverse-engineer, or create derivative works of the Interface unless permitted by law.

## <mark style="color:$primary;">XIII. Assumption of Risk</mark>

**XIII.1.** You acknowledge and agree that using the Interface, Digital Assets, and blockchain technology entails significant risks, which you assume entirely, including but not limited to:

a) **Automated Tools Risk:** Bots, automated rebalancing, and AI-assisted execution may malfunction, misconfigure, or execute unintended transactions;

b) **Market Risk:** The value of Digital Assets can be extremely volatile and may fall to zero.

c) **Technology Risk:** Smart contracts, protocols, bridges, and blockchains may contain bugs, vulnerabilities, or fail, resulting in partial or total loss of assets;

d) **Irreversibility:** On-Chain Transactions are generally final and cannot be reversed, canceled, or refunded;

e) **Immutability and Transparency:** Transaction data recorded on a public blockchain is permanent and publicly visible and cannot be erased or altered;

f) **Third-Party Risk:** Third-Party Services may fail, be compromised, or act in ways outside our control;

g) **Regulatory Risk:** Laws and regulations governing Digital Assets and DeFi are evolving and may adversely affect the Interface or your ability to use it;

h) **User Error:** Sending assets to an incorrect address, approving a malicious transaction, or losing your keys or credentials may result in irrecoverable loss;

You are solely responsible for evaluating these risks before using the Interface.

**XIII.2.** **No Professional Advice.** The Interface and any information or output it provides are for general informational purposes only and do not constitute financial, investment, legal, tax, accounting, or other professional advice. We are not your broker, advisor, or fiduciary. You should conduct your own research and consult qualified professionals before making any decisions.

## <mark style="color:$primary;">XIV. Disclaimer of Warranties & Limitation of Liability</mark>

**XIV.1.** THE INTERFACE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE INTERFACE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE INTERFACE AT YOUR OWN RISK.

**XIV.2.** TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FLIPPER, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR DIGITAL ASSETS ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE INTERFACE OR ANY THIRD-PARTY SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

**XIV.3.** TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE INTERFACE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US, IF ANY, IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

**XIV.4.** Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

## <mark style="color:$primary;">XV. Modifications & Termination</mark>

**XV.1.** **Changes to the Interface.** We may modify, suspend, or discontinue the Interface (or any part or feature of it) at any time, with or without notice, and we will not be liable to you or any third party for any such changes.

**XV.2.** **Changes to these Terms.** We may update these Terms from time to time. If we make material changes, we will provide reasonable notice via the Interface. Your continued use of the Interface after the changes take effect constitutes acceptance of the updated Terms.

**XV.3.** **Termination and Suspension.** We may restrict, suspend, or terminate your access to the Interface at any time, including if we believe you have violated these Terms or applicable law, or to protect the security or integrity of the Interface. Sections that, by their nature, should survive termination will do so.

## <mark style="color:$primary;">XVI. Governing Law and Dispute Resolution</mark>

**XVI.1.** **Governing Law.** These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the British Virgin Islands, without regard to conflict-of-law principles.

**XVI.2.** **Jurisdiction.** You agree that the courts of the British Virgin Islands will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or the Interface, and you irrevocably submit to the jurisdiction of those courts unless mandatory provisions of your local jurisdiction require otherwise.

**XVI.3.** **Time Limitation.** To the extent permitted by law, any claim arising out of or relating to these Terms or the Interface must be brought within one (1) year after the cause of action arises; otherwise, it is permanently barred.

## <mark style="color:$primary;">XVII. Miscellaneous</mark>

**XVII.1.** **Entire Agreement.** These Terms, together with the Privacy Policy and any additional program rules, constitute the entire agreement between you and us regarding the Interface and supersede all prior agreements. Where product-specific terms apply to a particular feature, those terms prevail in the event of a conflict.

**XVII.2.** **Severability.** If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

**XVII.3.** **No Waiver.** Our failure to enforce any provision does not constitute a waiver of our right to do so later.

**XVII.4.** **Assignment.** You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.

**XVII.5.** **Force Majeure.** We are not liable for any failure or delay resulting from causes beyond our reasonable control, including blockchain network failures, third-party outages, or acts of God.

**XVII.6.** **No Partnership.** Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and us.

**XVII.7.** **Language.** These Terms are drafted in English. Any translation is provided for convenience only, and the English version prevails in case of conflict.
